02X · Venture Builder & Holding Co.

We build compliance-grade ventures.

02X (Pty) Ltd is a South African RegTech and compliance venture builder. We build app-based, human-supervised managed-compliance businesses for regulated industries. Our first venture, GRC Shop, delivers outsourced OHS, POPIA, Labour, FICA, CIPC and SARS compliance for South African companies.

02X (Pty) Ltd is a South African venture builder and holding company, building software ventures in regulated and compliance-heavy industries. We start with the unfashionable problems, the registers, the returns and the audits, because that is where the time and money quietly go.

Our model is simple. We build small, focused, app-based services that replace consultant-heavy work with software supervised by humans. We launch one venture at a time, prove the model, and scale only when the operating loop is sound. Today we have one live venture and several in research.

Why 02X

South Africa's regulated sectors carry a heavy and growing compliance load, from occupational health and safety to POPIA, labour, FICA, CIPC and SARS. Most organisations meet it with expensive specialist retainers or fragile in-house spreadsheets. 02X exists to replace that with something better: focused, app-based ventures that combine software with human supervision, built specifically around South African law.

We are a venture builder, not a consultancy and not a pure software vendor. We identify a regulated, admin-heavy compliance problem, build a managed service around it, and operate it as a standalone brand. The technology handles the tracking, the reminders and the paperwork; qualified people own the judgement and the sign-off.

How we operate

Every 02X venture runs on the same governance-first model. Compliance work is only useful if someone accountable stands behind it, so each venture pairs automated workflows with human review at every decision point. Nothing is left to run unsupervised.

02X is founder-led by Philip de Witt, a chartered management accountant (ACMA, CGMA) and MBA with close to two decades in financial governance, risk and operational leadership. Day-to-day delivery in each venture is carried by a dedicated operational team under that oversight, so clients get both the discipline of a governance professional and consistent hands-on service.

What we actually do for a venture

02X is not a fund and it is not an advisory practice. We build operating businesses and then run them, which means the work is unglamorous and specific: choosing a regulatory domain we can defend, designing the operating model before the software, building the product, carrying the compliance and governance obligations of the venture itself, and staying accountable for the service after launch.

In practice a venture moves through three stages. First, the thesis: a regulatory obligation that is genuinely mandatory, genuinely recurring, and genuinely painful to discharge by hand. If an obligation is optional or one off, it does not become a venture. Second, the build: the statutory rules are sourced and documented before any interface is designed, because a compliance product that encodes the wrong rule is worse than no product at all. Third, the operating phase: the venture runs as a managed service with named human accountability for review and sign-off, and 02X carries the governance, data protection and financial control obligations behind it.

That third stage is the reason we build rather than invest. Compliance software fails most often after launch, when the law changes and nobody updates the rule. Owning the operating entity means the cost of getting that wrong lands on us.

What 02X is not

We are early, we are small, and we would rather say so than let a website imply otherwise.

02X is not an incubator that takes external startups through a programme. It is not an investor, and it does not take equity positions in businesses it did not build. It is not a law firm, an audit firm or a registered tax practitioner firm, and nothing our ventures publish is legal, audit or tax advice. It does not hold a financial services provider licence. It has no external board, no investment committee and no institutional backing, and it does not present itself as having any of those.

What it does have is a registered South African company, a founder who is personally accountable for every venture decision, professional finance and governance credentials behind the sign-off, and one venture in the market with paying obligations to real clients. For a business considering whether to depend on a venture of ours, that is the honest picture, and it is a more useful basis for a decision than a claim of scale we do not have.

Where 02X is based, and who it answers to

02X (Pty) Ltd is a South African private company, registration number 2025/768856/07, incorporated in 2025 and operating from Gauteng. It is a B-BBEE Exempt Micro Enterprise. It trades as GRC Shop for its first venture, and both entities are governed under the same accountability model rather than being kept at arms length from each other.

Our ventures are built for the South African regulatory environment first: the Occupational Health and Safety Act, the Protection of Personal Information Act, the Companies Act, the Financial Intelligence Centre Act and the tax administration framework. That focus is deliberate. A compliance product that is accurate about one jurisdiction is worth more than one that is approximately right about several, and the statutory rules our platform encodes are written to be jurisdiction scoped rather than assumed to be universal.

Questions about 02X

Is 02X an investor or an incubator?

Neither, in the usual sense. 02X is a venture builder and holding company. It builds and operates its own ventures rather than funding or accelerating other people businesses, and it does not take equity positions in companies it did not build.

What is the relationship between 02X and GRC Shop?

GRC Shop is a venture of 02X and its first one. 02X (Pty) Ltd trades as GRC Shop, so they are the same registered legal entity, registration number 2025/768856/07. The two brands are kept distinct in voice because they speak to different audiences: 02X speaks about how ventures are built and governed, GRC Shop speaks to businesses buying compliance as a service.

Who runs 02X?

Philip de Witt, the founder, who is accountable for venture decisions and for the professional sign-off behind them. He is an associate chartered management accountant, ACMA and CGMA, holds an MBA from the UCT Graduate School of Business, and holds an ISO 45001:2018 occupational health and safety management systems qualification from the SABS Training Academy. A dedicated operational team works under that oversight, and chartered accounting capability sits within the business.

How does 02X choose what to build next?

The test is whether an obligation is mandatory, recurring and expensive to discharge by hand, and whether the underlying statutory rules can be sourced and documented well enough to be encoded honestly. Domains that fail either test are not built, however attractive the market looks. That is why the venture roadmap is narrow and sequenced rather than broad.

Is 02X funded, and does it need to be?

02X is founder funded and has no institutional backing. Its ventures are built to be cash generating services rather than growth stories that need capital to survive, and the operating model is deliberately small and remote first so that the cost base stays proportionate to the client base.
